BY-LAWS, COCHRANE SEARCH AND RESCUE ASSOCIATION

 

ARTICLE V — COMMITTEES

 

Section 1 — Committee formation:  The Board may create committees as needed, such as fundraising, public relations events, data collection, etc.  The Board appoints all committee chairs. 

 

Section 2 — Executive Committee:  The four Officers and Directors at large serve as the members of the Executive Committee. Except for the power to amend the Articles of Incorporation and By-laws, the Executive Committee shall have all the powers of operation and authority of the Board of Directors in the intervals between meetings of the Board of Directors, and is subject to the direction and control of the full Board.  Committees are assigned by the Board of Directors to work on specific issues facing the Association.  Standing Committees, such as an Executive Committee, Finance Committee or Board Development Committee must be outlined in the By-laws, whereas ad hoc committees can be created for a time period set by the Board of Directors.

 

Section 3 — Finance Committee:  The Treasurer is the chair of the Finance Committee.  The Finance Committee is responsible for developing and reviewing fiscal procedures, the annual budget with Board members, and assisting with fundraising plans. The budget requires Board approval.  The Board or the Executive Committee must approve any major change in the budget.  The fiscal year shall begin on April 1st and end on March 31st.  Annual financial reports must be submitted to the Board.  The financial records of the Association are public information and shall be made available to the membership, Board members, and the public.

 

Section 4 – Auditing:  The books, accounts and records of the Secretary and Treasurer shall be audited at least once a year by a qualified accountant or by two members of the Association elected for the purpose at the AGM. Such auditor shall submit a complete and proper statement of the standings of the books for the previous year at the AGM.  The Treasurer shall ensure that an audit by a qualified independent account occurs once every two years.

 

The books and records of the Association may be inspected by any member of the Association at the AGM providing that the member has given 31 days notice thereof and arranged a satisfactory time with the Officers involved. Each member of the Board shall at all times have access to such books and records.
